Welcome to Scrypt Wallet (“Scrypt”, the “Company”, “we”, “us” or “our”) is a blockchain development company focused on the highest quality decentralized technologies build on platforms such as Solana. Scrypt Wallet operates a primary website at https://scryptwallet.io/ that offers information about Scrypt Wallet and its suite of services, along with dedicated subdomains for individual product offerings (collectively, the “Site”). The Site includes text, images, audio, code, third-party content, and other related materials.
Scrypt Wallet makes available to users in certain demographics certain software, which currently includes unhosted wallet application and web wallet. The wallet enables users to 1. store high quality digital assets locally on their own devices; 2. link to high quality decentralized applications, including without limits, decentralized exchanges (these are known or referred too as “Dapp(s)”); 3. through the applications user interface, swap assets on a peer-to-peer basis pursuant to quotes provided by independent professional market makers (“Market Makers”) or through third-party Dapps (“Swapper”); 4. as a data aggregator meaning view addresses and information that are part of digital asset networks and broadcast transactions; and 5. additional functionality as may be added to the application (known or referred to as “Functionality”). “Digital Assets” means only those particular tokens, cryptocurrencies and other crypto or blockchain-based digital assets listed as available to interact with or self-custody in your Wallet. Services and supported Digital Assets may vary by jurisdiction.
These Terms of Service (“Terms” or the “Agreement”) govern your access to and use of Scrypt Wallet’s services, products, content, and features, collectively referred to as the “Functionality.” and constitutes a legally binding agreement between us and you and/or the entity you represent (“you”,”your” or “user”).
ARBITRATION NOTICE: THESE TERMS CONTAIN AN ARBITRATION CLAUSE FOR USERS IN THE UNITED STATES AND CANADA, WHICH PROVISION IS CONTAINED BELOW UNDER THE HEADING “DISPUTE RESOLUTION”. IF YOU ARE LOCATED IN THE UNITED STATES OR CANADA, YOU AGREE THAT DISPUTES BETWEEN YOU AND HOPE STREET STRATEGIES DBA SCRYPT WALLET WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND YOU WAIVE YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR OTHER REPRESENTATIVE PROCEEDING.
We reserve the right to revise these Terms at any time, at our sole discretion, without prior notice. When changes are made, we may inform you by updating the Terms on our website, through notifications in the app, or by any other method we consider reasonable. It is your responsibility to review the Terms regularly. By continuing to use the Site or Functionality after any changes are made, you agree to be bound by the updated Terms.
If you do not agree with the revised Terms, you must stop using the Site and all related Functionality immediately. As our platform continues to evolve, we may update, alter, suspend, or discontinue any part of the Site or Functionality—temporarily or permanently—at any time and without prior notice or liability.
Additionally, when using Scrypt Wallet, you may interact with services provided by third parties. For example, asset swaps and trading always involve’s third-party exchanges. In such cases, your use of these services (“Third-Party Functionality”) will be governed by the terms of use, privacy policies, and applicable fees set by those third-party providers. Scrypt Wallet is not responsible for the performance, content, or practices of these third parties.
Acceptance of Terms
Please read these Terms carefully before using the Site or Functionality. By accessing or using Scrypt Wallet’s platform, software, or services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use our services.
We may modify the Terms at any time at our sole discretion and without notice. If we do so, we’ll notify you either by posting the modified Terms on the Site, by providing you a notice through the App, or through other methods of communication which we deem reasonable. It’s important that you review the Terms whenever we modify them because if you are using our Site or Functionality even after we modified the Terms you are agreeing to be legally bound by those new terms and to abide by the modified Terms.
If you don’t agree to be bound by the modified Terms, then you may not use the Site or Functionality. Because the Functionality is evolving over time, we may change or discontinue all or any part of the Site and Functionality (or any part of either or both) at any time and without notice, in our sole and absolute discretion. If you don’t agree to be bound by the modified Terms, then you must not use the Site or Functionality.
When using our Site you maybe using the functionality of one or more third parties. For example, you could be on-ramping through a third party like Coinbase or Stripe or the swapper relies, in part, on exchanges or other sources of liquidity operated by third persons and using the Scrypt Wallet may require access through a web browser like Google Chrome or Microsoft Edge. Your use of those and other third-party software (“Third-Party Functionality”) will be subject to the privacy policies, terms of use and similar policies and terms, and fees of those third parties.
Who May Use The Services
Eligibility
You may access and use the Site and its features (“Functionality”) only if you are of legal age in your jurisdiction of residence and not otherwise prohibited by applicable laws. By using the Site and/or Functionality, you represent and warrant that:
You are of legal age and fully capable of entering into binding agreements. If you are acting on behalf of a business or legal entity, you confirm that you have the authority to bind that entity to these Terms.
Neither you nor any person that owns or controls you is subject to sanctions or otherwise designated on any list of prohibited or restricted parties, including but not limited to the lists maintained by the United Nations Security Council, the BVI government, the United Kingdom government, the U.S. Government (e.g., the Specially Designated Nationals List and Foreign Sanctions Evaders List of the U.S. Department of Treasury and the Entity List of the U.S. Department of Commerce), the European Union or its Member States, or other applicable government authority.
Registration and Your Information; Suspension/Termination of Functionality; Securit
Account Registration, Access, and Security
To access certain aspects of the Site or Functionality, you may need to create an account ("Account"). To the extend you create an account, you agree that you won’t disclose your account credentials to or allow your Account to be used by anyone and you’ll notify us immediately of any unauthorized use of your Account. You agree to keep your credentials secure and not share them with others. You are solely responsible for any activity associated with your Account, regardless of whether the actions were authorized by you.
We reserve the right to suspend or terminate your Account at any time, without prior notice, if you provide false information, violate these Terms, or fail to meet our account requirements. Suspension or termination may occur at our sole discretion and without liability to you.
Scrypt Wallet is a non-custodial self-custody application. If you forget or lose access to your wallet, you must use your recovery phrase (the “Recovery Phrase”) to regain access to your digital assets. Your Recovery Phrase is the only method to restore your wallet and the digital assets it contains. Anyone who has access to your Recovery Phrase can control your wallet and its contents.
You acknowledge and agree that Scrypt Wallet does not store and is not responsible in any way for the security of your Recovery Phrase and you agree to hold Scrypt Wallet, it’s affiliates, representatives, agents and personnel harmless and that no such party shall be liable in any way in the event you lose your recovery Phrase and cannot access, transfer or spend your cryptocurrency. You bear sole responsibility’s for any loss of your cryptocurrency due to failure to retain and/or secure your Recovery Phrase.
We do not store, manage, or have access to your Recovery Phrase. You accept full responsibility for securing it. Scrypt Wallet and its affiliates, partners, or team members are not liable for any loss resulting from your failure to retain or protect your Recovery Phrase.
Feedback
We welcome feedback, comments, and ideas and have built functionalities to allow users to provide feedback in the most constructive way. You grant to us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sublicensable and transferable license under any and all intellectual property rights that you own or control to use, copy, and or modify, create any type of derivative work on either basis upon or in improvements with respect to Scrypt Wallet or third-parties with respect to and otherwise exploit and commercialize the feedback and any such derivative works and improvements in any manner and for any purpose.
Account and Security
For the purposes of these Terms:
“Content” refers to all text, graphics, images, music, software, audio, video, creative works, and other information or materials made available or accessible through the Scrypt Wallet website, application, or services (collectively, the Site or Functionality); and
“User Content” refers to any Content that users or account holders (including you) upload, submit, store, transmit, post, or otherwise make available on or through the App or Site. Content includes User Content without limitation.
We do not claim ownership over your User Content. Nothing in these Terms restricts your rights to use or exploit your own User Content as you choose.
However, aside from User Content, Scrypt Wallet and its licensors exclusively own all rights, titles, and interests in and to the App, Site, Functionality, and associated Content, including all related intellectual property rights. You acknowledge that the App, Site, and Functionality are protected under applicable copyright, trademark, and other laws of the United States and other jurisdictions. You agree not to remove, modify, or obscure any copyright, trademark, service mark, or proprietary rights notices embedded in or accompanying the Functionality or Content.
By uploading or sharing User Content, you grant Scrypt Wallet a worldwide, non-exclusive, royalty-free, fully paid, perpetual, irrevocable, sublicensable, and transferable license to use, copy, distribute, modify, create derivative works from, publicly display, and publicly perform your User Content, subject to the terms of our Privacy Policy.
You confirm and represent that you have the legal right and authority to submit your User Content and that your User Content does not infringe upon, misappropriate, or otherwise violate any intellectual property or other rights of any third party.
Please note that in some cases, even if you remove your User Content (such as by deleting posts or comments), residual copies may remain on the App or Site. We are not responsible for the deletion (or failure to delete) such residual content.
The App, Site, and Functionality (including all access) are proprietary to Scrypt Wallet and its licensors. Scrypt Wallet grants you a limited, non-exclusive, non-transferable, non-sublicensable, and fully revocable right to access and use the App, Site, and Functionality solely in accordance with these Terms.
You agree not to use the Site or Functionality for any purpose or in any manner other than what is expressly permitted under this agreement. Without prior written authorization, you will not (and will not attempt to):
modify, distribute, alter, tamper with, repair, or create derivative works from any Content (unless you are granted a separate license allowing this);
reverse engineer, disassemble, or decompile any part of the App or Site or attempt to derive source code;
access or use the Functionality to avoid incurring fees or to exceed usage limits or quotas;
engage in data scraping or mining activities; or
resell, sublicense, or use the Functionality to offer software-as-a-service, cloud-based, time-sharing, or other similar services.
You may not use Scrypt Wallet Marks (defined as trademarks, service marks, logos, trade names, or other identifiers associated with Scrypt Wallet or its affiliates) without prior written consent. You agree not to misrepresent or overstate your relationship with Scrypt Wallet, nor imply that we sponsor, endorse, or are affiliated with you or your activities.
Scrypt Wallet is a non-custodial self-custodial application. You are responsible for securing your recovery phrase and any login credentials. Scrypt does not store or have access to your wallet keys or recovery phrase.
If you lose your recovery phrase, we cannot help you recover access to your funds or data. You are solely responsible for managing and protecting your wallet.
Scrypt Mining
Scrypt Wallet generates a portion of its internal revenue through scrypt mining hardware. These operations are solely managed by the Company and are not accessible to, nor directly benefit, users of the platform unless expressly stated otherwise.
Fees and Revenue
You may be charged fees for access to certain features within the Scrypt Wallet platform, including but not limited to transaction fees related to digital asset swaps executed through third-party exchanges. These fees may be subject to change at any time without prior notice. Any applicable fees will be disclosed to you at the point of transaction or interaction within the App or Site.
Scrypt Wallet integrates with third-party platforms to facilitate features such as asset swaps, purchases, or other decentralized finance services. You may incur additional charges from these third parties—such as decentralized exchanges (DEXs), APIs, or liquidity providers when you access their functionality through Scrypt Wallet. Scrypt Wallet is not responsible for any fees, charges, or terms imposed by these third parties.
While we strive to provide accurate, upfront estimates of any fees or rates involved, including those associated with third-party swaps or transactions, these figures are for informational purposes only and may not reflect the final amount paid. Rates and prices for digital assets shown in the app such as during swap interactions are subject to real-time market fluctuations and may change at any moment.
By using Scrypt Wallet, you acknowledge and agree that Scrypt Wallet is not liable for any differences between estimated and actual fees, nor for any loss, cost, or liability arising from inaccurate or outdated fee estimates. You accept full responsibility for verifying the terms and fees of any third-party service you choose to engage with via our platform.
Acceptable Use
By using the Scrypt Wallet Site and Functionality, you agree to act responsibly and in compliance with all applicable laws, rules, and these Terms. You may not use the Site or Functionality in any way that:
Violates, misuses, or infringes upon the rights of Scrypt Wallet, its users, partners, or licensors, including rights to privacy, publicity, intellectual property, or any proprietary content;
Is illegal, harmful, abusive, defamatory, obscene, threatening, harassing, hateful, discriminatory, or otherwise promotes unlawful or violent behavior;
Involves false statements, impersonation, misrepresentation, or deception of any kind;
Utilizes automated systems (including bots, scrapers, or bulk messaging tools) to spam, harvest data, or disrupt user experience;
Circumvents or tampers with any security, access control, or content protection features within the Site or Functionality;
Attempts to damage, disable, disrupt, or overload the Site, servers, or blockchain interactions, such as by uploading viruses, flooding requests, or launching denial-of-service attacks;
Attempts to bypass any moderation filters, firewalls, or other safeguards applied by Scrypt Wallet or its third-party service providers;
Interferes with the experience of other users or negatively impacts the reliability or performance of the Site or Functionality;
Violates any applicable laws or regulatory obligations, including those related to anti-money laundering (AML), terrorist financing, and export control compliance, such as the U.S. Bank Secrecy Act or sanctions imposed by OFAC or the UN.
You also represent and warrant that:
Any digital assets you use within the platform are lawfully obtained and rightfully owned or controlled by you;
You will not use the platform to engage in fraudulent behavior, transmit funds derived from illegal activity, or otherwise misuse the service;
You are responsible for all applicable fees—including network transaction costs (“gas”) and third-party fees associated with executing or confirming transactions.
Even if a transaction is labeled “gasless,” you acknowledge that processing may still require a fee based on the underlying blockchain protocol.
Third-Party Services & Partnership Arrangements
To enhance performance, execution quality, and overall user experience, Scrypt Wallet may engage in strategic relationships with third parties, including but not limited to data providers, validators, exchange platforms, and liquidity aggregators (“Partners”). These Partners may compensate Scrypt Wallet by sharing a portion of the fees or revenue they generate from user activity enabled through our platform. This may include—but is not limited to—fees related to price movements, arbitrage, transaction prioritization, optimized order execution, or bundled transaction submissions.
Certain Partners may be granted exclusive rights to process, route, or broadcast user transactions submitted through the platform. Similarly, Scrypt Wallet may display quotes from Market Makers or third-party exchanges via its swap interface. If you choose to complete a transaction using a Market Maker or third-party liquidity provider, you acknowledge that Scrypt Wallet may receive a fee or commission from that provider as part of the transaction.
Use of Third-Party Services and Applications
Scrypt Wallet may provide access to or integrate with third-party decentralized applications (DApps), exchanges, wallets, or data services (“Third-Party Functionality”) to enable certain features—such as token swaps, asset tracking, or external account linking.
When using these third-party tools through our interface, you are responsible for the safety of your wallet recovery phrase. We offer these integrations purely as a convenience and do not control or endorse the products, content, or services provided by these third parties. Accessing these third-party applications is like accessing a web browser and you must proceed with caution.
All interactions with Third-Party Functionality are solely between you and the third-party provider. Scrypt Wallet is not responsible for the availability, accuracy, legality, or performance of any third-party site, tool, or integration, and disclaims all liability related to your use of or reliance on them.
If you choose to connect your Wallet to external accounts, services, or platforms, you understand and agree that those interactions are governed by the applicable terms of use and privacy policies of the third-party providers. You are responsible for reviewing and accepting those terms before proceeding with any third-party connection or transaction.
By using these third-parties, you accept all associated risks and acknowledge that Scrypt Wallet is not liable for any loss, fees, errors, or disruptions arising from your use of external platforms or services.
Intellectual Property
All IP related to Scrypt Wallet, including trademarks, logos, and software, is operated by Hope Street Strategies, LLC and owned by its co-founders per the Operating Agreement with Hope Street Strategies.
Risks and Disclaimers
Limitation of Liability
Under no circumstances shall Scrypt Wallet, Hope Street Strategies, LLC, its affiliates, partners, developers, officers, directors, employees, or agents (“Scrypt Parties”) be liable to you or any third party for any indirect, incidental, special, consequential, punitive, or exemplary damages including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses arising from your use or inability to use the Site, App, or Functionality. This limitation applies regardless of the legal theory under which such damages are sought, including breach of contract, negligence, tort, or any other cause, even if the Scrypt Parties were advised of the possibility of such damages.
Scrypt Wallet assumes no liability for any issues arising from your use of third-party services, applications, exchanges, or data providers accessed through our platform.
Where applicable law does not allow the limitation of liability for personal injury, incidental, or consequential damages, the above limitation may not apply to you. In such cases, the total liability of the Scrypt Parties for any claims under these Terms shall not exceed one hundred U.S. dollars (USD $100) or the equivalent in your local currency.
Risk Disclosure & Acknowledgment
By using the Scrypt Wallet platform, you acknowledge and accept the following:
Legal Disclaimer: Scrypt Wallet does not act as an intermediary, custodian, or broker. All transactions are connected through third-parties and executed directly by you the user only. You are not a customer of Scrypt Wallet in a custodial or fiduciary sense.
No Financial Advice: Scrypt Wallet does not provide investment, legal, or tax advice. Any market data, token listings, or third-party integrations displayed in the platform are for informational purposes only and do not represent endorsements or investment recommendations.
Volatility and Market Risk: Digital assets are inherently volatile and carry significant financial risk, including the potential for complete loss. Prices may change rapidly due to speculation, market trends, regulation, security incidents, and technological shifts.
Token and Project Risk: Anyone can create a digital token. Fake or misleading tokens may appear identical to legitimate ones. You are solely responsible for validating the authenticity of any token you interact with.
Blockchain Risk: The cost, speed, and reliability of blockchain-based transactions (e.g., on Solana or other networks) may fluctuate. Network congestion, gas fees, or protocol-level issues may cause delays, high costs, or failed transactions.
Security & Self-Custody: You are solely responsible for managing your wallet’s private keys, seed phrase, and any associated credentials. Scrypt Wallet does not store or have access to your recovery information. If you lose your private keys or seed phrase, you may lose access to your digital assets permanently. We strongly discourage sharing or storing this information publicly or in unsecured environments.
Evolving Technology: Cryptography, blockchain protocols, and decentralized technologies continue to evolve. This includes the future risk of advances like quantum computing. While we aim to keep our software secure, we cannot guarantee protection against all current or future vulnerabilities.
Regulatory Uncertainty: The digital asset ecosystem is subject to evolving regulations. Your use of Scrypt Wallet could be impacted by changes in law or enforcement actions in your jurisdiction or globally. We make no guarantees about the continued availability of our services in any specific legal or regulatory environment.
Accuracy of Information: Although we aim to provide timely and accurate information, we make no guarantees that data on the Site, including pricing, fees, or transaction history, is complete, real-time, or error-free. You are responsible for independently verifying any information before making decisions.
Third-Party Responsibility: Your interactions with third-party services, decentralized exchanges, or external wallets are solely between you and the third-party provider. Scrypt Wallet is not liable for errors, losses, or service disruptions arising from third-party platforms, APIs, or DApps.
Legal Compliance
Scrypt Wallet is a developer and provider of self-custody wallet software and Web3 functionality. We do not act as a broker, exchange, dealer, clearinghouse, investment adviser, money transmitter, or custodian of digital assets. Scrypt Wallet does not offer trade execution, custody of funds, or clearing services. All transactions initiated through the Scrypt Wallet platform are signed and executed directly by users using their own self-managed wallets with a third-party like paypal, typically over public blockchain networks such as Solana or Bitcoin.
Scrypt Wallet is not classified as a money transmitter, nor is it required to register as a Money Services Business (MSB) under the Bank Secrecy Act, because it does not control funds or conduct currency transmission or exchange on behalf of others. Our software enables users to self-custody, interact with decentralized applications, and conduct blockchain transactions without surrendering control of their private keys or digital assets to Scrypt Wallet or any of its affiliates.
Note: If in the future, any Scrypt Wallet features are introduced that could involve stored value, fiat transmission, or custody on behalf of users, we will undergo appropriate licensing and registration reviews and communicate any changes transparently to users.
Risk Disclosure and Waiver
By accessing and using Scrypt Wallet, you acknowledge and agree to the following:
You are solely responsible for complying with all applicable local, state, federal, and international laws, including but not limited to regulations enforced by the U.S. Commodity Futures Trading Commission (CFTC), the Securities and Exchange Commission (SEC), and the U.S. Department of Treasury.
Scrypt Wallet is not regulated or reviewed by any financial regulatory body, and use of the platform does not constitute investment advice or fiduciary support.
You assume all risk associated with your use of blockchain networks, digital asset volatility, and smart contract interactions. These risks include, but are not limited to, loss of funds due to private key mismanagement, malicious token contracts, protocol changes, regulatory actions, market crashes, price slippage, and technological vulnerabilities (including future developments like quantum computing).
You must securely store your own recovery phrase or private key. Scrypt Wallet cannot recover lost credentials and is not liable for any resulting asset loss.
Scrypt Wallet does not and cannot verify the legitimacy of any tokens you may encounter. Anyone can create and name a token, and interacting with counterfeit or malicious tokens is at your own risk.
By using Scrypt Wallet, you release and hold harmless Scrypt Wallet, Hope Street Strategies, LLC, and all related personnel from any and all liability arising from your use of the Site, App, or blockchain interactions. If you are a California resident, you specifically waive rights under California Civil Code § 1542, which states:
“A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in their favor at the time of executing the release and that, if known by them, would have materially affected their settlement with the debtor or released party.”
Assumption of Risk and Waiver
By accessing or using the Scrypt Wallet platform, you expressly assume all risks associated with the use of blockchain technologies and digital assets. You further agree to release and hold harmless the Scrypt Parties from any and all claims, liabilities, or losses arising from your use of the Site, Functionality, or third-party integrations.
Dispute Resolution
Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of Rhode Island, without regard to its conflict of law provisions. The arbitration provisions below shall be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16.
Binding Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
By using the Scrypt Wallet Site, App, or Functionality, you agree that any dispute, controversy, claim, or disagreement arising out of or relating to these Terms, your use of Scrypt Wallet, or your interaction with Scrypt Wallet in any capacity (a “Dispute”) will be resolved through binding individual arbitration, rather than in court, subject to the following terms.
Initial Dispute Resolution
Before initiating arbitration, both parties agree to attempt to resolve any Dispute informally and in good faith. You must first send written notice of the Dispute to:

Your notice must include your name, the nature of your Dispute, and the specific relief sought. If a resolution is not reached within thirty (30) days after Scrypt Wallet receives this notice, you may proceed to arbitration.
Arbitration Agreement
You and Scrypt Wallet agree that any dispute, claim, or controversy (collectively, Dispute) will be resolved through binding arbitration, administered primarily by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and the Supplementary Procedures for Consumer-Related Disputes in effect at the time arbitration is initiated (“AAA Rules”), available at www.adr.org or by calling 1-800-778-7879.
If, for any reason, the AAA is unavailable or declines to administer the arbitration, the arbitration will instead be administered by JAMS under its applicable rules, available at www.jamsadr.com.
To begin arbitration, the initiating party must provide the other party with a written Demand for Arbitration in line with the AAA Rules (or JAMS rules if applicable). Arbitration will be conducted on an individual basis by a sole arbitrator, who will be a retired judge or a licensed attorney selected by the parties from the AAA (or JAMS) roster. If the parties cannot agree on an arbitrator within fourteen (14) days, the administrator (AAA or JAMS) will appoint the arbitrator.
The arbitrator has full authority to grant all remedies available in individual litigation, including injunctive relief. If either party reasonably determines that the requested injunctive relief could materially affect other Scrypt Wallet users, the arbitration will proceed individually but before a panel of three (3) arbitrators: each party selects one, and the two selected arbitrators choose the third, who serves as chair. If there is disagreement on whether the three-arbitrator panel is warranted, the sole arbitrator will decide.
Except as required by law, the arbitration proceedings and any resulting award will be strictly confidential.
Arbitration Location and Costs
Arbitration will be conducted in English and will take place in San Francisco, California, unless both parties agree to conduct it remotely (via video, phone, or electronic means).
If Scrypt Wallet initiates arbitration, Scrypt Wallet will cover all filing and administrative fees (except hearing fees). If you initiate arbitration, you will pay filing and administrative fees as required by the AAA (or JAMS) Rules or applicable law. However, if the amount you seek is $10,000 or less, Scrypt Wallet will cover all such fees upon your request, unless the arbitrator finds your claim frivolous or brought in bad faith (as defined by Federal Rule of Civil Procedure 11(b)). Each party will pay its own attorney fees unless otherwise required by law or expressly provided in these Terms.
No Collective or Class Arbitration
You and Scrypt Wallet agree that arbitration will only proceed on an individual basis. Neither party may bring a claim or participate in any collective, class, coordinated, consolidated, or mass arbitration (each a “Collective Arbitration”).
Without limitation, a matter will be considered Collective Arbitration if:
(i) two (2) or more similar arbitration claims are filed concurrently by or on behalf of claimants; and
(ii) the claimants’ counsel are the same, share fees, or coordinate in any way across the claims.
For clarity, “concurrently” means both claims are pending at the same time. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SCRYPT WALLET WAIVE ANY RIGHT TO PURSUE OR PARTICIPATE IN COLLECTIVE ARBITRATION OR CLASS ACTIONS, INCLUDING AS A REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL. Any challenge to the enforceability of this section will be decided solely by the arbitrator.
Exceptions and Judicial Forum
Notwithstanding the arbitration agreement, either party may:
(A) bring qualifying claims in California small claims court; or
(B) seek provisional judicial relief (such as injunctive or equitable remedies) to prevent unauthorized use or misuse of intellectual property, trade secrets, or confidential information.
If for any reason this arbitration agreement is found unenforceable or inapplicable, you and Scrypt Wallet agree that any judicial proceedings must be brought exclusively in the state or federal courts located in California, and both parties consent to venue and personal jurisdiction in those courts.
Survival and Severability
This arbitration agreement will survive termination or expiration of these Terms. If any provision (other than the Collective Arbitration waiver) is found invalid or unenforceable, the remaining portions will remain in effect. If a court finds the Collective Arbitration waiver unenforceable, the entire arbitration section will be void, but the rest of the Terms will remain valid.
General Terms
These Terms (including the Privacy Policy) represent the full, exclusive agreement between you and Scrypt Wallet regarding the App, Site, and Functionality, superseding any prior agreements or understandings.
You may not assign these Terms without our prior written consent. We may assign these Terms freely. Any notices under these Terms may be provided electronically, including via posting on the Site or electronic communication.
Failure to enforce any provision will not be considered a waiver. Only a written waiver signed by an authorized Scrypt Wallet representative is effective.
These Terms are provided in English (U.S.), and any translated versions are for convenience only; the English version governs in case of conflict.
Venue and Manner of Arbitration
Unless otherwise agreed by the parties, arbitration shall take place in Providence, Rhode Island, or remotely via videoconference. Any court with jurisdiction may enter judgment on the arbitrator’s award.
Individual Basis Only
To the fullest extent permitted by law:
No class actions, group arbitrations, or representative actions are permitted.
Disputes must be resolved on an individual basis only.
You agree to waive any right to participate in a class action, class arbitration, or other representative proceeding against Scrypt Wallet.
Warranty Disclaimer
You expressly understand and agree that your use of the Scrypt Wallet site, application, and any associated services or content is at your sole risk. The Site, App, and Functionality are provided on an “as is” and “as available” basis, without warranties of any kind—express, implied, statutory, or otherwise.
To the fullest extent permitted by applicable law, Scrypt Wallet, Hope Street Strategies, LLC, and their affiliates disclaim all warranties, including, but not limited to:
Implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title;
Any warranties arising out of course of dealing or usage of trade;
Any warranties that access to or use of the Site or Functionality will be uninterrupted, timely, secure, or error-free;
Any warranties concerning the availability, security, or performance of any blockchain network, including but not limited to Bitcoin, Solana, or any other compatible protocol.
If your jurisdiction does not allow exclusions of implied warranties, those limitations may not apply to you. However, any warranties not expressly disclaimed herein shall last no longer than thirty (30) days or the minimum required period by applicable law, whichever is shorter.
Private key management services, if offered, are provided purely as a convenience and without guarantees. You are solely responsible for backing up and securing your access credentials (including seed phrases or private keys). Scrypt Wallet cannot recover lost keys or credentials and assumes no liability for loss of access to your digital assets.
Scrypt Wallet operates within a rapidly evolving ecosystem involving experimental technologies such as decentralized networks, smart contracts, and third-party integrations. You acknowledge the inherent risks of interacting with such systems, including potential:
Vulnerabilities in cryptography;
Software or hardware malfunction;
Network congestion, reorganization, or downtime;
Fake tokens or phishing scams created by third parties.
Scrypt Wallet shall not be liable for any lost, delayed, or improperly transmitted messages or transactions, nor for fluctuations in the value of digital assets.
No Professional Advice or Fiduciary Relationship
All content, communications, and tools provided by Scrypt Wallet including tutorials, articles, UI elements, and swap interfaces are for informational purposes only. They do not constitute legal, financial, investment, tax, or other professional advice.
You agree that:
No content provided through the Site or App should be construed as a recommendation to buy, sell, or hold any digital asset.
You are solely responsible for evaluating and making decisions regarding your digital asset activities.
No fiduciary duties are created or implied through your use of Scrypt Wallet, whether by common law or otherwise.
Before making any financial, legal, or strategic decision involving digital assets or blockchain services, you should consult with a qualified professional.
You further understand that any market maker pricing, swap settings (e.g., slippage or gas preferences), or other automated interface elements are customizable and provided without guarantee of suitability, profitability, or competitiveness. You are fully responsible for the consequences of any transaction initiated through or informed by Scrypt Wallet.
Indemnity
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Scrypt Wallet, Hope Street Strategies, LLC, their affiliates, officers, directors, employees, contractors, and agents (“Scrypt Wallet Parties”) from and against any and all third-party claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorney and accounting fees) arising out of or related to:
Your access to or use of the Site, App, or Functionality;
Your violation of these Terms;
Your User Content or interaction with Third-Party Functionality;
Your breach of any representation, warranty, or obligation herein;
Any negligent or wrongful conduct by you in connection with your use of the service.
We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of any such claims.
General Terms
These Terms of Service, along with our Privacy Policy, represent the entire and exclusive agreement between you and Scrypt Wallet regarding your use of the Site, App, and related Functionality. They supersede all prior discussions, agreements, or understandings—whether written or oral—between you and Scrypt Wallet concerning the same subject matter.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction or arbitrator, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
You may not assign or transfer your rights or obligations under these Terms without prior written consent from Scrypt Wallet. Any unauthorized assignment or transfer will be deemed null and void. We may assign or transfer these Terms at any time and without restriction.
By using the Site or App, you agree to receive communications from us electronically, including legal notices, policy updates, and disclosures. These communications may be provided via email, platform notifications, or by posting updates directly on the Site.
Failure by Scrypt Wallet to enforce any provision of these Terms shall not constitute a waiver of that provision or any others. Any waiver must be made explicitly in writing and signed by an authorized representative of Scrypt Wallet.
These Terms are provided in U.S. English, and any translated versions are offered solely for convenience. In the event of any conflict between translations, the English version shall control.
